Product License Agreement

This Product License Agreement (“License Agreement”) governs the use of digital products purchased, downloaded, licensed or otherwise obtained from ASamplesX.

ASamplesX is a trading brand operated by:

1. Acceptance of This License Agreement

By purchasing, downloading, installing, activating, accessing or using an ASamplesX Product, you agree to this License Agreement.

This License Agreement applies together with:

  • the ASamplesX Terms of Service;
  • the applicable product page;
  • the ASamplesX Refund Policy; and
  • any product-specific licence terms or addenda supplied with a particular Product.

If a product-specific licence expressly conflicts with this License Agreement, the product-specific licence will govern that Product to the extent of the conflict.

If you do not agree to this License Agreement, you must not download, install, activate, access or use the Product.

2. Definitions

For this License Agreement:

“ASamplesX” means the ASamplesX brand operated by Almusawi International.

“Product” means any digital product licensed by ASamplesX, including sample libraries, virtual instruments, software, plug-ins, audio loops, MIDI files, grooves, presets, templates, impulse responses and other digital content.

“Licensed Content” means the audio, MIDI, software, presets, files, recordings, performances, documentation and other material included in a Product.

“Source Assets” means the underlying reusable files or content contained in a Product, including raw or processed samples, loops, recordings, MIDI files, presets, impulse responses, software assets and similar material.

“Finished Work” means an original musical, audiovisual, broadcast, interactive or other creative production in which Licensed Content has been incorporated as part of a larger creative work rather than redistributed as reusable Source Assets.

“Licensee” means the individual or legal entity that lawfully purchased or otherwise obtained the licence.

“Licensed User” means the individual natural person authorized to directly install and use the Product.

“Commercial Use” means use in a Finished Work that is sold, monetized, licensed, commissioned, broadcast, publicly performed or otherwise used for commercial purposes.

3. Products Covered

This License Agreement may apply to ASamplesX Products including:

  • sample libraries;
  • Kontakt instruments;
  • virtual instruments;
  • software and plug-ins;
  • audio loops;
  • one-shots;
  • recorded performances;
  • MIDI files;
  • MIDI groove libraries;
  • quantize and groove files;
  • presets;
  • templates;
  • sound-design assets;
  • impulse responses;
  • documentation; and
  • other downloadable or licensed digital content.

Developer products, SDKs, marketplace assets, redistribution licences, enterprise licences, AI or dataset licences and similar specialized products may be governed by separate or additional agreements.

4. Ownership

Purchasing a Product does not transfer ownership of that Product or its underlying intellectual property.

ASamplesX, Almusawi International and/or their licensors retain all applicable ownership and intellectual-property rights in the Product and its Licensed Content, including:

  • recordings;
  • samples;
  • loops;
  • MIDI files;
  • software;
  • source code;
  • object code;
  • virtual instruments;
  • presets;
  • interfaces;
  • artwork;
  • documentation;
  • product names;
  • trademarks; and
  • other included material.

Your purchase grants you a licence to use the Product subject to this License Agreement.

All rights not expressly granted are reserved.

5. Standard Licence Grant

Subject to your compliance with this License Agreement, ASamplesX grants you a limited, non-exclusive, non-transferable licence to use the Product for permitted creative and production purposes.

Unless a Product expressly states otherwise, the standard ASamplesX licence is a SINGLE-USER licence.

If an individual purchases the Product, that individual is the Licensed User.

If a company or other legal entity purchases the Product, the company may own the licence, but only ONE designated natural person may directly install and use the Product unless additional seats or a multi-user licence are purchased.

A Product may be installed on more than one computer personally used by the same Licensed User where reasonably necessary for that user’s work, unless a product-specific licence states otherwise.

The standard licence does not permit unrestricted access by multiple employees, collaborators, contractors or users.

6. Royalty-Free Creative Use

For Products licensed under this Agreement, “royalty-free” means that after properly licensing the Product, you do not owe ASamplesX additional royalties for permitted use of the Product in Finished Works.

You may use licensed ASamplesX Products in original productions including:

  • songs;
  • albums;
  • singles;
  • film scores;
  • television productions;
  • advertising music;
  • radio;
  • podcasts;
  • theatre;
  • live performances;
  • concert productions;
  • video games;
  • trailers;
  • online videos;
  • social-media content;
  • broadcast productions;
  • multimedia projects;
  • client productions; and
  • other original musical or audiovisual works.

Such Finished Works may be commercial or non-commercial.

7. Commercial Releases

You may commercially release, distribute and monetize Finished Works created using properly licensed ASamplesX Products.

For example, you may:

  • release music through streaming platforms;
  • sell recordings;
  • license music for film or television;
  • create music for clients;
  • broadcast your work;
  • perform your work publicly;
  • monetize videos containing your music;
  • include your music in games or applications; and
  • deliver finished productions to clients.

No additional ASamplesX royalty is owed for these permitted uses.

8. Client Work

You may use ASamplesX Products when creating music or audio for a client.

You may deliver to a client:

  • finished audio;
  • mixes;
  • masters;
  • stems;
  • soundtracks;
  • rendered performances; and
  • other Finished Work materials,

provided that the underlying Source Assets are not supplied in a form that allows the client to use them independently as a substitute for purchasing the original ASamplesX Product.

Your client does not automatically receive a licence to the underlying Product.

If a client needs direct access to the Product or its Source Assets, that client must obtain an appropriate licence.

9. Film, Television, Games and Interactive Media

Licensed Content may be incorporated into Finished Works including:

  • films;
  • television programmes;
  • documentaries;
  • advertisements;
  • trailers;
  • video games;
  • mobile applications;
  • interactive installations; and
  • similar productions.

The Licensed Content must be incorporated into the Finished Work and must not be made available to the end user as separately accessible reusable Source Assets.

Where technically reasonable, appropriate measures should be used to prevent extraction of Source Assets from games, applications and other interactive products.

10. Music Releases and Stems

You may distribute Finished Works containing ASamplesX Licensed Content.

You may provide stems where reasonably necessary for:

  • mixing;
  • mastering;
  • broadcast;
  • film delivery;
  • client production; or
  • genuine collaboration.

However, stems must not be used as a disguised method of redistributing reusable ASamplesX Source Assets.

An isolated stem consisting substantially of an unmodified or minimally modified ASamplesX loop, phrase, performance or sample may not be distributed as reusable source material.

11. Audio Samples and Loops

You may creatively process licensed samples and loops within a Finished Work.

Permitted processing includes:

  • pitch shifting;
  • time stretching;
  • EQ;
  • compression;
  • effects;
  • chopping;
  • layering;
  • rearranging;
  • resampling within a production;
  • mixing; and
  • other normal production techniques.

Processing or modifying Licensed Content does not transfer ownership of the original content to you.

You may not sell, share, distribute or sublicense an ASamplesX sample or loop, whether original or modified, as standalone reusable audio content.

12. Sample Packs, Sound Libraries and Competing Products

Unless ASamplesX grants you a separate written licence, you may not use Licensed Content to create or distribute:

  • another sample library;
  • sample pack;
  • loop pack;
  • construction kit;
  • one-shot collection;
  • sound-effects library;
  • drum kit;
  • virtual instrument;
  • Kontakt library;
  • soundbank;
  • preset library;
  • impulse-response library; or
  • another product whose primary value consists of reusable assets derived from ASamplesX content.

This restriction applies even if you:

  • edit;
  • process;
  • pitch-shift;
  • time-stretch;
  • layer;
  • rename;
  • convert;
  • reformat; or
  • otherwise modify

the original Licensed Content.

A Finished Work is permitted.

Redistribution of reusable Source Assets is not.

13. Virtual Instruments

You may use an ASamplesX virtual instrument to create and render audio for permitted Finished Works.

You may not systematically record, resample, extract or reconstruct the instrument’s sounds for the purpose of creating:

  • another virtual instrument;
  • sample library;
  • soundbank;
  • sample pack;
  • preset library; or
  • other reusable sound product.

Rendering notes, phrases and performances as part of a genuine musical production is permitted.

Systematically sampling the instrument in order to reproduce or redistribute its underlying sound content is prohibited.

14. MIDI Files and MIDI Grooves

Licensed ASamplesX MIDI content may be used as part of your music-production workflow.

You may:

  • load MIDI into compatible software;
  • edit notes;
  • change tempo;
  • change velocity;
  • change instrumentation;
  • change arrangement;
  • apply grooves to your own performances;
  • combine MIDI with your own material; and
  • render the resulting production as audio.

You may commercially release Finished Works created using licensed MIDI content.

You may not distribute the underlying ASamplesX MIDI files as:

  • MIDI files;
  • MIDI packs;
  • groove libraries;
  • downloadable sequences;
  • DAW templates containing redistributable ASamplesX MIDI; or
  • other reusable MIDI products.

Changing notes, tempo, filenames or other properties does not by itself create a right to redistribute material that substantially reproduces ASamplesX MIDI content.

15. Quantize and Groove Products

Where a Product provides timing, groove or quantization templates, you may use those templates to shape the timing or feel of your own performances.

You may commercially release the resulting Finished Works.

You may not redistribute the underlying ASamplesX groove, MIDI, quantization or timing files themselves or include them in another:

  • groove library;
  • MIDI pack;
  • DAW template product;
  • quantize library; or
  • other reusable timing product.

16. Presets, Templates and Impulse Responses

ASamplesX presets, templates and impulse responses may be used in permitted creative productions.

Unless expressly authorized by the applicable Product licence, you may not sell, share, redistribute or repackage the original or substantially derived files as part of another:

  • preset library;
  • template collection;
  • IR library;
  • soundbank;
  • asset pack; or
  • similar reusable product.

17. Software

Where a Product contains software, you receive the right to install and use that software in accordance with this License Agreement and any product-specific software licence.

Except where applicable law expressly permits otherwise, you may not:

  • copy the software for redistribution;
  • sell, rent or sublicense it;
  • make it available for unauthorized download;
  • circumvent its licensing or activation system;
  • remove or defeat protection mechanisms;
  • modify it for unauthorized redistribution;
  • extract proprietary assets for redistribution; or
  • reverse engineer, decompile or disassemble it for the purpose of reproducing proprietary technology.

Reasonable personal backup copies are permitted unless legitimate technical or security restrictions prevent them.

18. Redistribution and Sharing

You may not provide an unlicensed person with access to ASamplesX Products or Source Assets.

Prohibited conduct includes:

  • uploading Product files to public or private file-sharing services;
  • torrent distribution;
  • sending Product files to friends or collaborators;
  • sharing download links;
  • sharing customer-account credentials;
  • sharing licence or activation credentials;
  • posting Product files in online communities;
  • making cloud folders available to unauthorized users;
  • selling unauthorized copies; or
  • otherwise enabling an unlicensed person to obtain or use the Product.

A collaborator who needs direct access to an ASamplesX Product must have an appropriate licence unless your licence expressly permits multi-user access.

19. Collaboration

You may collaborate with:

  • musicians;
  • producers;
  • engineers;
  • mixers;
  • mastering engineers;
  • editors;
  • composers; and
  • other creative professionals.

You may provide rendered audio or other Finished Work materials reasonably necessary for the collaboration.

Collaboration does not permit you to give an unlicensed collaborator permanent or independent access to the underlying Product.

If another collaborator needs to install or directly operate the Product, that collaborator must hold an appropriate licence.

20. Cloud Storage and Backups

You may maintain reasonable private backup copies of Products you have licensed.

You may use private personal cloud storage where the files are accessible only to you or to users expressly covered by your licence.

You may not create public download links or shared folders that allow unauthorized users to access Product files.

21. Content ID and Rights-Management Systems

You may register and protect the original copyrightable elements of your own Finished Works.

However, ASamplesX Source Assets are non-exclusive and may lawfully be used by other properly licensed ASamplesX customers.

You must therefore not register raw, isolated or substantially unmodified ASamplesX Source Assets in a system in a manner that claims exclusive ownership of those assets.

This includes systems such as:

  • YouTube Content ID;
  • Meta Rights Manager;
  • audio-fingerprinting services;
  • automated copyright-claim systems; and
  • similar rights-management databases.

If you register a Finished Work containing ASamplesX content, you are responsible for configuring or administering your rights-management arrangement so that it does not falsely claim exclusive ownership of ASamplesX Source Assets or generate improper claims against other legitimate ASamplesX licensees.

You may own copyright in your original Finished Work.

You do not acquire exclusive copyright ownership of the underlying ASamplesX Source Assets.

22. AI, Machine Learning and Datasets

Unless ASamplesX expressly grants a separate written licence permitting it, you may not use ASamplesX Source Assets as training, validation, fine-tuning or source data for:

  • generative AI models;
  • machine-learning models;
  • audio-generation models;
  • music-generation models;
  • instrument-synthesis models;
  • dataset creation; or
  • similar systems designed to learn from, reproduce, imitate or generate reusable content based on the licensed assets.

You may use ordinary AI-assisted creative tools as part of producing a Finished Work where those tools do not use ASamplesX Source Assets for unauthorized model training, dataset creation or redistribution.

Separate AI, dataset or machine-learning licensing may be offered by ASamplesX.

23. Licence Transfers and Resale

Unless expressly permitted by ASamplesX in writing or through an official licence-transfer system, licences are non-transferable.

You may not:

  • resell a licence;
  • transfer it to another person;
  • give it away;
  • sell an account containing the licence; or
  • transfer the licence as part of selling a computer or another business asset.

If ASamplesX introduces an official licence-transfer system, transfers will be governed by the rules applicable to that system.

24. Multi-User, Studio, Educational and Enterprise Use

A standard single-user licence does not authorize unrestricted installation or use across:

  • commercial studios;
  • production companies;
  • schools;
  • universities;
  • broadcast facilities;
  • organizations;
  • teams; or
  • multi-user computer networks.

If multiple individuals need direct access to a Product, additional seats or an appropriate multi-user, studio, educational or enterprise licence may be required.

25. Free, Demo and Trial Products

Unless expressly stated otherwise, free Products remain copyrighted and licensed rather than entering the public domain.

Receiving a Product free of charge does not give you unrestricted redistribution rights.

Demo, trial or evaluation Products may be subject to additional restrictions.

Trial restrictions may not be intentionally circumvented.

Where a Product is marked for evaluation only, it may be used only within the scope stated for that evaluation.

26. Third-Party Content and Software

Some ASamplesX Products may include, require or interact with third-party software, intellectual property or content.

Any applicable third-party licence conditions identified with a Product must also be followed.

Third-party trademarks, technologies and intellectual property remain the property of their respective owners.

27. Licensing and Copy-Protection Technology

ASamplesX may use technical systems to:

  • activate Products;
  • verify licences;
  • manage downloads;
  • prevent unauthorized redistribution;
  • detect tampering;
  • manage product entitlements; or
  • protect intellectual property.

You may not intentionally defeat, disable, bypass or circumvent these systems.

Nothing in this section restricts any right that applicable law expressly provides and does not permit to be restricted by contract.

28. Refunds and Effect on the Licence

If a purchase is fully refunded, the licence for that Product terminates unless ASamplesX expressly states otherwise.

After a full refund, you must:

  • stop using the Product for new work;
  • delete Product files under your control where reasonably practicable;
  • stop accessing the Product through your account; and
  • not use the refunded Product in new productions.

A refund does not create an ongoing right to continue using the underlying Product or Source Assets.

However, unless the refund arose from fraud, piracy, unauthorized use or another material licence violation, a Finished Work that was lawfully created and commercially released before the refund may generally remain distributed.

You may not create new Finished Works using the refunded Product after the licence has terminated.

Nothing in this section overrides rights or obligations imposed by applicable law.

29. Breach and Termination

A material breach of this License Agreement may result in suspension or termination of the affected licence or Product access.

Material breaches may include:

  • piracy;
  • unauthorized redistribution;
  • licence sharing;
  • unauthorized resale;
  • deliberate circumvention of protection systems;
  • systematic extraction of Source Assets;
  • creation of prohibited competing libraries using ASamplesX content; or
  • other serious infringement of ASamplesX intellectual-property rights.

Where appropriate and reasonably practicable, ASamplesX may request that a breach be corrected before terminating the licence.

Termination does not prevent ASamplesX from exercising any remedies available under applicable law.

When a licence is terminated for material breach, you must cease using the affected Product and delete copies under your control unless applicable law requires otherwise.

Provisions that by their nature should survive termination, including ownership, intellectual-property, redistribution, liability and governing-law provisions, will continue to apply.

30. No Exclusivity

ASamplesX Products are generally licensed to multiple customers.

Your licence does not give you exclusivity over any:

  • sample;
  • loop;
  • groove;
  • MIDI file;
  • instrument;
  • preset;
  • rhythm;
  • performance;
  • recording;
  • sound; or
  • other licensed Source Asset.

Another properly licensed customer may use the same Source Asset in an independent Finished Work.

The fact that another legitimate licensee uses the same ASamplesX Source Asset does not by itself constitute infringement of your Finished Work.

31. Representation of Ownership and Branding

You may accurately claim ownership of the original composition, production, arrangement, recording, performance or other creative contribution that you created.

You must not falsely claim that you created, recorded, own or exclusively control an underlying ASamplesX Source Asset where you did not.

Purchasing a Product does not grant you a trademark licence to use:

  • ASamplesX;
  • ASamples;
  • ASampler;
  • ASamplesX logos;
  • Product logos; or
  • other ASamplesX branding

as your own mark or in a manner that falsely implies sponsorship, partnership, endorsement or affiliation.

Normal factual references identifying ASamplesX Products used in a production are permitted.

32. Warranties and Liability

ASamplesX warrants that, subject to any clearly identified third-party terms, it has the right to grant the licences expressly granted by this License Agreement for Products supplied by ASamplesX.

Product operation remains subject to the technical requirements, compatibility information and specifications applicable to the Product.

Liability relating to your purchase and use of ASamplesX Products is governed by the ASamplesX Terms of Service and applicable law.

Nothing in this License Agreement excludes or limits any warranty, liability, remedy or consumer right where doing so is prohibited by applicable law.

33. Changes to This License Agreement

ASamplesX may update this License Agreement from time to time.

The licence applicable to a completed purchase will generally remain governed by the material licence rights applicable when the Product was purchased, unless:

  • a later version grants additional rights;
  • a change is required by applicable law; or
  • you expressly agree to revised terms where agreement is legally required.

ASamplesX will not retroactively remove material usage rights already granted for a completed purchase merely by changing this webpage.

34. General Legal Terms

Severability

If any provision of this License Agreement is found invalid, unlawful or unenforceable, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.

No Waiver

Failure or delay by ASamplesX in enforcing a provision does not waive our right to enforce it later.

Assignment

You may not assign or transfer this licence except where this License Agreement, an official ASamplesX transfer mechanism or applicable law permits it.

ASamplesX may transfer its rights and obligations as part of a legitimate merger, acquisition, restructuring or transfer of the relevant business, provided that doing so does not unlawfully reduce existing customer rights.

Governing Law

This License Agreement is governed by the laws of the Sultanate of Oman.

Disputes relating to this License Agreement are subject to the competent courts of the Sultanate of Oman, except where mandatory consumer-protection or jurisdictional rules applicable to you provide otherwise.

Nothing in this Agreement removes a consumer right that cannot legally be waived.

35. Entire Licence Agreement and Expanded Rights

This License Agreement, together with:

  • the applicable Product page;
  • the ASamplesX Terms of Service; and
  • any Product-specific licence or addendum,

defines the licence granted for the relevant ASamplesX Product.

If you require rights outside the standard licence, including:

  • additional user seats;
  • studio licensing;
  • enterprise licensing;
  • educational licensing;
  • redistribution rights;
  • OEM licensing;
  • white-label licensing;
  • developer licensing;
  • dataset licensing;
  • AI or machine-learning rights; or
  • other expanded commercial rights,

you must obtain written permission or an appropriate separate licence from ASamplesX.
