These Terms of Service (“Terms”) govern your access to and use of the ASamplesX website, digital products, software, downloadable content, customer accounts and related services.


ASamplesX is a trading brand operated by Almusawi International, Muscat, Sultanate of Oman.

By accessing our website, creating an account, placing an order, purchasing or downloading a product, or otherwise using our services, you agree to these Terms.


If you do not agree to these Terms, you should not use the website or purchase our products.


1. ABOUT ASAMPLESX


ASamplesX develops and distributes digital products and services for music production, composition, sound design and related creative work.


Our products may include, among other things:


sample libraries;

virtual instruments;

software and plug-ins;

MIDI files;

MIDI groove libraries;

audio loops;

presets;

templates;

sound-design assets;

documentation; and

other downloadable or licensed digital content.


The specific features, contents, compatibility requirements and licence conditions applicable to a product are described on the relevant product page and, where applicable, in documentation or a product-specific licence agreement.


2. ELIGIBILITY AND LEGAL CAPACITY


By purchasing from ASamplesX, you confirm that you have the legal capacity to enter into a binding agreement.


If you make a purchase on behalf of a company, organization or other legal entity, you confirm that you have authority to bind that entity to these Terms.


You must provide accurate and current information when creating an account, placing an order or communicating with us.


3. ELECTRONIC CONTRACTING


You agree that transactions with ASamplesX may be conducted electronically.


Orders, confirmations, invoices, licences, notices and other records may be created, delivered and stored electronically.


Submitting an order constitutes an offer to purchase the applicable product.


An order is accepted when we confirm the transaction and make the purchased product, licence, download or entitlement available to you, unless we expressly state otherwise.


We reserve the right to refuse or cancel an order before acceptance where reasonably necessary, including in cases involving:


suspected fraud;

unauthorized payment;

pricing or technical errors;

duplicate transactions;

security concerns;

legal or regulatory restrictions; or

incorrect product availability.


If we cancel an order after payment has been collected and you are entitled to a refund, the amount collected for that cancelled order will be returned through the appropriate payment method.


4. PRICES, TAXES AND PAYMENT


Prices are displayed in the currency shown on the website or at checkout.


Applicable taxes, duties or other charges may be added where required by law.


Payments are processed through Shopify and the payment providers enabled on our store.


ASamplesX does not directly control the processing times, authorization procedures or internal policies of third-party payment providers.


You agree to provide accurate billing and payment information and confirm that you are authorized to use the payment method submitted.


We may correct obvious pricing, typographical or technical errors before an order is accepted.


5. DIGITAL DELIVERY


ASamplesX primarily sells digital products.


Depending on the product, delivery may take place through:


a customer account;

a download link;

a download manager;

a licence or activation system;

email;

a third-party delivery platform; or

another method identified on the product page.


Delivery is considered completed when the purchased product or corresponding entitlement has been made available to you through the applicable delivery method.


Occasionally, delivery may be delayed by payment verification, fraud prevention, account verification, technical maintenance or other reasonable operational requirements.

6. PRODUCT INFORMATION AND COMPATIBILITY


We aim to provide accurate descriptions of our products, including relevant software requirements, operating-system requirements, third-party dependencies, supported formats and other technical information.


You are responsible for reviewing the product page and applicable system requirements before purchasing.


Some products may require third-party software, hardware or platforms, including products such as Native Instruments Kontakt, a compatible DAW, a supported operating system or other software specified on the product page.


Unless expressly stated otherwise, the purchase of an ASamplesX product does not include any required third-party software or hardware.


Third-party companies may update, modify or discontinue their products independently of ASamplesX.


We cannot guarantee indefinite compatibility with future versions of third-party software, operating systems or hardware.


Where reasonably practical, we may provide updates or compatibility information when relevant.


7. PRODUCT LICENCE


Purchasing an ASamplesX product does not transfer ownership of the underlying intellectual property.


Instead, you receive a licence to use the purchased product in accordance with these Terms and any product-specific licence terms supplied with it.


Unless a product-specific licence expressly states otherwise, the licence is:


non-exclusive;

non-transferable; and

granted to the person or legal entity that purchased the product.


You may use licensed ASamplesX sounds, samples, loops, instruments, MIDI content and other creative assets as part of your own original musical, audiovisual, broadcast, film, game, performance or other creative productions, including commercial productions, subject to the applicable product licence.


You may render, process, edit, combine and incorporate licensed content into a finished creative work.


However, you may not distribute the underlying ASamplesX source assets in a form that allows another person to extract, reuse or access them as a substitute for purchasing the original ASamplesX product.


8. PROHIBITED REDISTRIBUTION


Unless we expressly authorize it in writing or a product-specific licence allows it, you may not:


redistribute an ASamplesX product or any substantial part of it;

upload product files to file-sharing, torrent or redistribution services;

sell, rent, sublicense, lend or transfer a product licence;

share your download or activation credentials with another person;

package ASamplesX samples, loops, MIDI files, presets or other assets into another sample library, sound library, MIDI pack, preset pack or similar competing product;

make the original product files available to another person;

circumvent or interfere with activation, authentication, licence-management or copy-protection systems;

remove or alter ownership, copyright or licence information from a product; or

use our products in a manner that infringes the intellectual-property rights of ASamplesX, Almusawi International or a third party.


Nothing in these Terms prohibits any activity that applicable law expressly permits and that cannot legally be restricted by contract.


9. ACCOUNTS AND ACCOUNT SECURITY


Where an ASamplesX or Shopify customer account is available, you are responsible for maintaining the confidentiality of your login credentials.


You must not intentionally allow another person to use your account to obtain unauthorized access to purchased products.


You should notify us promptly if you reasonably believe your account has been compromised.


We may temporarily restrict an account where reasonably necessary to investigate fraud, unauthorized access, licence abuse or another security issue.


10. INTELLECTUAL PROPERTY


The ASamplesX website and ASamplesX products may contain intellectual property owned by or licensed to Almusawi International and ASamplesX, including:


trademarks;

trade names;

software;

source code and object code;

recordings;

samples;

loops;

MIDI files;

virtual instruments;

graphic interfaces;

artwork;

photographs;

documentation;

text;

designs;

audio demonstrations;

videos; and

other original content.


Except for the limited licence expressly granted to you, all applicable intellectual-property rights remain reserved.


ASamplesX, the ASamplesX logo and related product names and branding may not be used in a way that falsely implies ownership, sponsorship, endorsement or affiliation.


Third-party trademarks and product names remain the property of their respective owners.


11. PRODUCT-SPECIFIC LICENCES


Certain products may be supplied with their own End User Licence Agreement, software licence, developer licence or other product-specific terms.


Where product-specific licence terms apply, those terms form part of your agreement with us.


If a product-specific licence conflicts with these general Terms regarding the permitted use of that particular product, the product-specific licence will govern that product to the extent of the conflict.


Mandatory rights under applicable law remain unaffected.


12. REFUNDS


Because ASamplesX primarily supplies downloadable and digitally delivered products, purchases may become immediately accessible after payment.


Refund eligibility is governed by our Refund Policy and by any mandatory rights available to you under applicable law.


Nothing in these Terms or our Refund Policy excludes, restricts or overrides a consumer right that cannot legally be excluded.


If a product is materially defective, incorrectly supplied or materially inconsistent with the description under which it was purchased, contact us so that we can investigate and, where applicable, provide an appropriate remedy.


13. PRODUCT UPDATES AND CHANGES


We may update, improve, correct or modify our products over time.


Updates may include:


bug fixes;

compatibility updates;

new content;

performance improvements;

workflow changes;

security changes; or

changes required because of third-party platforms.


Unless expressly promised as part of the purchase, purchasing a product does not guarantee access to every future major version, expansion or separately sold upgrade.


We may discontinue older products, downloads, versions or services where reasonably necessary.


Where practical, we will seek to minimize disruption to existing customers.


14. SUPPORT


We may provide customer and technical support relating to our products.


Support may include reasonable assistance with installation, downloading, activation, licensing and documented product functionality.


Support does not include an obligation to troubleshoot unrelated third-party software, unsupported operating systems, modified product files or systems that do not meet the published requirements.


15. THIRD-PARTY SOFTWARE AND SERVICES


The website and our products may integrate with or link to third-party products and services such as Shopify, payment processors, Native Instruments Kontakt, DAWs, YouTube, SoundCloud and other platforms.


Those third-party products and services are governed by their own terms, privacy policies and licences.


ASamplesX does not control those third parties and is not responsible for changes, outages, discontinuation or other actions taken independently by them.


References to third-party products do not imply ownership, sponsorship or endorsement unless expressly stated.


16. REVIEWS, FEEDBACK AND USER SUBMISSIONS


If you submit a product review, feedback, suggestion or other non-confidential communication to ASamplesX, you confirm that you have the right to submit it.


You remain responsible for your submission.


You must not submit content that is unlawful, fraudulent, defamatory, abusive, infringing or intentionally misleading.


Where you submit a review or other content for public display, you grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce and format that submission for the purpose of operating, promoting and improving ASamplesX and the relevant product or service.


This licence does not transfer ownership of your original content to us.


We may moderate or remove submissions where reasonably necessary for legal, security, authenticity or platform-integrity reasons.


17. ACCEPTABLE USE OF THE WEBSITE


You may not intentionally use the ASamplesX website or services to:


commit fraud;

gain unauthorized access to systems or accounts;

introduce malware or harmful code;

interfere with website security;

scrape or extract protected content in violation of applicable law or these Terms;

circumvent technical restrictions;

impersonate another person;

infringe intellectual-property rights; or

engage in activity prohibited by applicable law.


18. SUSPENSION OR TERMINATION


We may suspend or terminate access to an account, licence or service where we have reasonable grounds to believe there has been:


fraud;

payment abuse;

unauthorized redistribution;

licence sharing;

serious infringement of intellectual-property rights;

attempted circumvention of security or licensing systems;

unlawful conduct; or

a material breach of these Terms.


Where appropriate and reasonably practicable, we may contact you before taking permanent action.


Termination does not remove any rights or obligations that by their nature should survive termination, including intellectual-property rights, payment obligations, licence restrictions and limitations of liability.


19. WEBSITE AVAILABILITY


We aim to keep the ASamplesX website and related services reasonably available.


However, continuous or uninterrupted availability cannot be guaranteed.


We may temporarily restrict access for:


maintenance;

security;

updates;

infrastructure changes;

emergency repairs; or

circumstances outside our reasonable control.


We are not responsible for temporary service interruptions that are reasonably outside our control, subject always to any rights you have under mandatory applicable law.


20. WARRANTIES AND DISCLAIMERS


We warrant that our products will be supplied substantially in accordance with their published description, subject to the product specifications and requirements identified at the time of purchase.


Creative software and audio products may behave differently depending on the customer’s computer, operating system, DAW, third-party software, hardware, configuration and workflow.


We therefore do not warrant that every product will satisfy every individual creative purpose or operate with systems that do not meet the published requirements.


To the maximum extent permitted by applicable law, any additional warranties not expressly stated in these Terms are excluded.


Nothing in this section excludes or limits any warranty or consumer right that cannot legally be excluded.


21. LIMITATION OF LIABILITY


Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.


To the maximum extent permitted by law, ASamplesX and Almusawi International will not be liable for indirect, incidental, special or consequential loss arising from the use of, or inability to use, our products or services, including loss of profit, loss of business opportunity or loss of data, except where such liability cannot legally be excluded.


Where our liability may lawfully be limited, our aggregate liability arising from a particular purchased product will not exceed the amount actually paid by you for that product.


This limitation does not apply where applicable law requires a greater remedy or prohibits such limitation.


22. BACKUPS AND CUSTOMER DATA


You are responsible for maintaining appropriate backups of your own projects, compositions, sessions and other files.


ASamplesX is not responsible for loss of customer-created work caused by hardware failure, third-party software, unsupported configurations or failure to maintain reasonable backups, except to the extent that applicable law provides otherwise.


23. PRIVACY


Our collection and processing of personal information is governed by our Privacy Policy and applicable data-protection law.


Please review the Privacy Policy for information about how personal information is collected, used and protected.


24. FORCE MAJEURE


Neither party will be responsible for a delay or failure to perform an obligation where the delay or failure results from circumstances reasonably beyond that party’s control, including natural disasters, widespread telecommunications failures, major infrastructure outages, governmental actions or other comparable events.


This provision does not affect payment obligations already due or any mandatory consumer rights.


25. CHANGES TO THESE TERMS


We may update these Terms from time to time to reflect changes in:


our products;

our services;

technology;

business operations; or

applicable law.


The current version will be published on this page together with its revision date.


Changes will apply prospectively unless applicable law requires otherwise.


For an existing completed purchase, a later change to these Terms will not retroactively remove rights already granted to you under the terms applicable when that purchase was made.


26. GOVERNING LAW


These Terms are governed by the laws of the Sultanate of Oman.


Any dispute arising from these Terms or the use of ASamplesX will be subject to the competent courts of the Sultanate of Oman, except where mandatory consumer-protection or jurisdictional rules applicable to you provide otherwise.


Nothing in this section deprives a consumer of rights that cannot lawfully be waived under the laws applicable to that consumer.


27. SEVERABILITY


If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.


28. NO WAIVER


A failure or delay by ASamplesX in enforcing a provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.


29. ASSIGNMENT


You may not assign or transfer your rights under these Terms or a product licence without our prior written consent, except where applicable law provides otherwise.


We may transfer our rights and obligations in connection with a legitimate reorganization, merger, acquisition, sale or transfer of the relevant business, provided that doing so does not unlawfully reduce your existing rights.


30. ENTIRE AGREEMENT


These Terms, together with:


the applicable product page;

our Refund Policy;

our Privacy Policy; and

any product-specific licence agreement,


constitute the agreement governing your purchase and use of the relevant ASamplesX product or service.
